Dear Investor,

Thank you for your interest in Second Life Public Radio, one of Second Life's oldest continously operating streaming radio stations. Founded in 2005 by Jon Desmoulins and Eryc Trudeau, SLPR has enjoyed success and recently celebrated its first anniversary.

SLPR plans to expand to several streaming channels and bring you relavent news, information and advertisement within SecondLife. With an increased sales force and recruitment of real life radio and television professionals, we hope to bring a professional lustre to the SL radio community in general and SL Public Radio in particular.

We at SLPR look forward to forging a strong bond with each and every one of our investors, truly working together in each of our business specialties, beyond the initial excitement of the IPO and forming friendships and relationships that will last for years to come.

Business Overview

SL Public Radio has been operating for over one year within the SecondLife, bringing entertainment to a wide variety of SecondLife communities. SL Public Radio does not discriminate based on roleplay or lifestyle choices and our audience includes furries, Goreans, GLBT, club goers, hardcore builders/scripters and casual users alike. SLPR also has several non-gamer listeners outside the community.

SLPR plans to branch into a "cluster model" of station operations, where there will be several stations of differing genres under one ownership (ie. RL radio groups Clear Channel, Citadel, Cox).

Business Strategy

The business strategy of Second Life Public Radio is simple, to be the most listened to and beloved radio station in Second Life. This can be accomplished in several ways.

- Advertisement, get the word out to people who otherwise wouldn't be listening
- Promotion, promote station activites internally to listeners in other day parts
- Sales, advertisers will stream the station into their businesses, creating exposure
- Events, provide a fun venue for people looking for something to do
- Live music, one of the hottest and most interesting uses of SL today, live musicians will provide exposure and listeners.

SL Public Radio has several strengths that other streaming stations do not have, they include the following.

Human Resources:
- Vice President Miles Sullivan is a real life Television General Manager and Chief Engineer in the #1 ADI (New York) and radio chief engineer and air-talent in market 38 (Providence-Warwick-Pawtucket, RI) and 50 (Hartford-New Britain-Middletown, CT).
- CEO Jon Desmoulins is an experienced DJ and businessman, also owning SL Marketing (SLM)
- Director of Operations, Laylah Mistral is an experienced DJ and businessperson
- Several existing staff members have several years experience in internet radio.

Capital Resources:
- 24/7 stream hosting
- 24/7 automation
- Extensive VPN-like network among staff and management

Market Overview

SL Public Radio has several competitors, including:

- Dreamland radio
- Club 69
- Goreans Portal Radio
- Mainstream internet stations (ie. Club 977, Ambient Chill, etc)

SL Public radio places itself above these broadcasters on 3 tenants. Reliablity, relevance and broad appeal, each point will be discussed in turn.

- Reliability: A typical SL-only radio station spends many hours a day off the air. This causes listener loyalty to suffer as land owners will simply tune away to a station that IS operating, and not come back.

- Relevance: SL Public Radio is directed at MMO communities in which its staff are active participants and residents. A mainstream internet station can not and will not cater to the SL audience. In fact, even IRC stations (ie. Dominate Radio) are hard pressed to serve both communities.

- Broad Appeal: SL Public Radio's format is wide ranging and "middle of the road" enough to appeal to nearly every resident of Second Life. SLPR does not cater to one particular community and does not discriminate but, in fact, embraces diversity.

Use of Capital

It is hoped to raise 1 million $L in this initial offering which will be used for the operating budget of the 2007-08 fiscal year. The budget includes but is not limited to,

- Staff payroll
- Server rent
- Land tier, rentals and fees
- Advertisement
- Professional fees (ie. scripters, builders, graphic artists, etc)

Risk Factors

Radio and broadcasting in general has always enjoyed relatively low risk. Real Life broadcasters have regulatory agencies to answer to, but for the most part, advertisers, staff and resources are easily obtained and maintained.

However, no venture is without risk, employee reliablity and loyalty have long been problems within any Second Life business or community. People simply do not feel it is a job in the usual sense of the word and since they never see their co-workers face to face, people typically do not feel a loyalty to them.

The recent crackdown on certain communities and activities in Second Life are perfect examples of another risk. If SL Public Radio had been known as "Gambling Radio" or "Ageplayer's Radio", the recent shunning of these activites would have harmed SLPR in a very negative fashion. As Linden Laboratories cracks down on further embarassing or illegal activities in Second Life, SLPR's advertiser base could be impacted.
